本エンドユーザー使用許諾契約（以下「本契約」）は、BitBIM（以下「ライセンサー」）と、ソフトウェア「Property Graph Editor for Archicad」（以下「本ソフトウェア」）を購入または使用するすべての個人または法人（以下「ユーザー」）との間の法的な契約です。
This End User License Agreement ("Agreement") is a legal agreement between BitBIM ("Licensor") and any individual or entity ("User") who purchases or uses the software "Property Graph Editor for Archicad" ("Software").
本ソフトウェアをインストール、コピー、または使用することにより、ユーザーは本契約の条項に同意したものとみなされます。同意しない場合は、本ソフトウェアをインストールまたは使用しないでください。
By installing, copying, or using the Software, User agrees to be bound by the terms of this Agreement. If User does not agree, User must not install or use the Software.
1. 本ソフトウェアの購入について / Purchase of the Software
本ソフトウェアの販売および決済は、Link, LLC（旧 Lemon Squeezy LLC、米国。以下「Lemon Squeezy」）が販売事業者として行います。ユーザーは Lemon Squeezy から本ソフトウェアを購入し、本ソフトウェアの使用許諾は、本契約に基づきライセンサーがユーザーに対して行います。購入手続きには、Lemon Squeezy が定める規約が別途適用されます。
The Software is sold, and payments are processed, by Link, LLC (formerly Lemon Squeezy LLC, United States; "Lemon Squeezy") acting as merchant of record. User purchases the Software from Lemon Squeezy, while the license to use the Software is granted to User by Licensor under this Agreement. Lemon Squeezy's own terms apply separately to the purchase transaction.
ライセンスキーの発行、ライセンス認証、および返金の手続きは、Lemon Squeezy の仕組みを通じて行われます。
Issuance of license keys, license activation, and refund procedures are carried out through Lemon Squeezy.
2. ライセンスの付与 / Grant of License
ライセンスの範囲 / Scope of License
ライセンサーは、ユーザーに対し、本ソフトウェアをインストールおよび使用する、非独占的かつ譲渡不能なライセンスを付与します。
Licensor grants User a non-exclusive, non-transferable license to install and use the Software.
本ソフトウェアは、ライセンス数の単位でご購入いただきます。ライセンス数は、本ソフトウェアを同時にお使いになれるコンピュータの台数です。1ライセンスにつき、同時に1台のコンピュータで本ソフトウェアを使用できます。1回のご購入で発行されるライセンスキーは、ご購入いただいたライセンス数（ライセンスキーに設定されたアクティベーション上限）までのコンピュータにライセンス認証して使用できます。複数台のコンピュータでお使いになる場合は、台数分のライセンスをご購入ください。
The Software is purchased by number of licenses. The number of licenses is the number of computers on which the Software can be used at the same time. Each license allows the Software to be used on one computer at a time. The license key issued for a purchase can be activated on up to as many computers as the number of licenses purchased (the activation limit set on the license key). Where the Software is to be used on multiple computers, a license is required for each computer.
ライセンス認証を解除すると、その1台分の枠が空き、別のコンピュータでライセンス認証して使用できます。
Deactivating an activation frees that slot, allowing the Software to be activated and used on another computer.
バックアップ / Backup
ユーザーは、バックアップまたはアーカイブ目的に限り、本ソフトウェアのコピーを1部作成できます。
User may make one copy of the Software solely for backup or archival purposes.
3. 禁止事項 / Prohibitions
ユーザーは、自らまたは第三者をして、以下の行為を行ってはなりません。
User shall not, and shall not permit any third party to:
- リバースエンジニアリング：本ソフトウェアの逆コンパイル、リバースエンジニアリング、逆アセンブル、またはソースコードの解読を試みること。
- 配布・譲渡：本ソフトウェアまたはライセンスキーを第三者に販売、配布、譲渡、貸与、リース、サブライセンス、またはオンライン公開すること。
- 回避行為：本ソフトウェアのライセンス認証システムまたは技術的保護手段を回避、無効化、または改変すること。
- Reverse Engineering: Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Software.
- Distribution & Transfer: Sell, distribute, transfer, rent, lease, sublicense, or publish online the Software or the license key to any third party.
- Circumvention: Bypass, disable, or modify any license validation systems or technical protection measures in the Software.
4. 保証の免責（現状有姿）/ Disclaimer of Warranty (AS-IS)
無保証 / No Warranty
本ソフトウェアは「現状有姿（AS-IS）」で提供され、特定目的への適合性、非侵害、バグの不存在、中断のない動作を含む、明示的または黙示的ないかなる保証も伴いません。
The Software is provided "AS-IS" without any warranty of any kind, either express or implied, including, but not limited to, fitness for a particular purpose, non-infringement, absence of bugs, or uninterrupted operation.
ただし、ライセンサーが記載する動作環境を満たしているにもかかわらず本ソフトウェアが動作しない場合には、返金ポリシーの定めに従い、購入代金を返金します。この返金をもって、当該不具合に関するライセンサーの責任のすべてとし、これを超える責任は負いません。
However, if the Software does not operate in an environment that meets the system requirements stated by Licensor, Licensor will refund the purchase price in accordance with the Refund Policy. Such refund constitutes Licensor's entire liability for that failure, and Licensor bears no liability beyond it.
互換性 / Compatibility
本ソフトウェアの動作は、購入時に指定されたArchicadの特定バージョンでのみ保証されます。ライセンサーは、将来のArchicadバージョンやアップデートに対する無償の互換性アップデートを提供する義務を負いません。
The Software is guaranteed to operate only with the specific version of Archicad designated at the time of purchase. Licensor has no obligation to provide free compatibility updates for future Archicad versions or updates.
サードパーティ製品・サービス / Third-Party Products & Services
本ソフトウェアは、Graphisoft社のArchicad（以下「サードパーティ製品」）を含む第三者が提供する製品またはサービス上で統合または動作します。ライセンサーは、当該サードパーティ製品の動作、バグ、仕様変更、またはサービス終了に起因するいかなる不具合、損害、問題についても責任を負いません。
The Software integrates with or operates on top of products or services provided by third parties, including Graphisoft's Archicad ("Third-Party Products"). Licensor shall not be liable for any malfunction, damages, or issues arising from the operation, bugs, specification changes, or termination of such Third-Party Products.
5. 責任の制限 / Limitation of Liability
いかなる場合においても、ライセンサーは、本ソフトウェアの使用または使用不能に起因するいかなる損害（データの喪失、データの破損、事業の中断、利益の喪失、またはその他の特別、付随的、間接的損害を含むがこれに限定されない）について、たとえ当該損害の可能性について事前に通知を受けていたとしても、一切の責任を負いません。
In no event shall Licensor be liable for any damages whatsoever (including, without limitation, loss of data, corruption of data, business interruption, loss of profits, or other special, incidental, or consequential damages) arising out of the use or inability to use the Software, even if Licensor has been advised of the possibility of such damages.
いかなる場合においても、本契約に基づくライセンサーの賠償責任の上限額は、ユーザーが本ソフトウェアの購入のために実際に支払った金額を超えないものとします。
In any case, the maximum aggregate liability of Licensor under this Agreement shall be limited to the actual amount paid by User to purchase the Software.
6. 契約の終了 / Termination
ユーザーが本契約のいずれかの条項に違反した場合、ライセンサーは通知なく直ちに本契約を終了し、ライセンスキーを無効化することができます。契約終了時、ユーザーは本ソフトウェアの使用を直ちに中止し、所持するすべてのコピーを破棄しなければなりません。
Licensor may immediately terminate this Agreement and deactivate the license key without notice if User fails to comply with any terms of this Agreement. Upon termination, User must immediately cease all use of the Software and destroy all copies of the Software in their possession.
7. 輸出管理 / Export Control & US Legal Compliance
ユーザーは、日本、米国、またはその他の適用法域の輸出管理法および規制に違反して、本ソフトウェアを輸出、再輸出、または移転してはなりません。
User shall not export, re-export, or transfer the Software in violation of any export control laws and regulations of Japan, the United States, or other applicable jurisdictions.
ユーザーは、(i) 米国政府による禁輸対象国に所在せず、かつ「テロ支援国家」に指定された国に所在しないこと、ならびに (ii) 米国政府の禁止または制限対象者リストに記載されていないことを表明し、保証します。
User represents and warrants that (i) User is not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) User is not listed on any U.S. Government list of prohibited or restricted parties.
8. 分離可能性・権利放棄 / Severability & Waiver
本契約のいずれかの条項が管轄権を有する裁判所によって無効または執行不能と判断された場合、当該条項は適用法の下で可能な限りその目的を達成するよう修正され、本契約の残りの条項は引き続き完全な効力を有します。
If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, such provision will be modified to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions of this Agreement will continue in full force and effect.
ライセンサーが本契約に基づく権利を行使しなかった場合でも、その後いつでも当該権利を行使する能力に影響を与えません。また、違反の放棄は、その後の違反の放棄とはみなされません。
The failure of Licensor to exercise any right or require performance of any obligation under this Agreement shall not affect the ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
9. 消費者に関する特則 / Provisions for Consumers
ユーザーが消費者契約法に定める消費者に該当する場合、本契約の各条項は、消費者契約法その他の消費者の保護に関する法令に反しない限度で適用されます。これらの法令に反する部分については、当該法令の定めに従って取り扱います。
If User is a "consumer" as defined in the Consumer Contract Act of Japan, the provisions of this Agreement apply only to the extent that they do not conflict with the Consumer Contract Act or other Japanese laws for the protection of consumers. Any provision that conflicts with such laws shall be applied as provided by those laws.
10. 準拠法・管轄裁判所 / Governing Law & Jurisdiction
本契約は日本法に準拠し、日本法に従って解釈されるものとします。本契約に起因または関連するすべての紛争については、名古屋地方裁判所を第一審の専属的合意管轄裁判所とします。
This Agreement shall be governed by and construed in accordance with the laws of Japan. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Nagoya District Court in the first instance.
11. 本契約の変更 / Amendments
ライセンサーは、本契約を変更することがあります。変更後の本契約は、その効力発生日以降に購入されたライセンスに適用されます。効力発生日より前に購入されたライセンスについては、当該購入の時点で有効であった版の本契約が引き続き適用されます。
Licensor may amend this Agreement from time to time. Any amended version applies only to licenses purchased on or after its effective date. For licenses purchased before that date, the version of this Agreement in effect at the time of purchase continues to apply.
ただし、法令の改正への対応が必要な場合、またはユーザーの利益となる変更である場合には、購入済みのライセンスについても変更後の本契約を適用することがあります。この場合、ライセンサーは、購入時に登録されたメールアドレス宛に事前に通知します。ユーザーが当該変更に同意しない場合、通知の日から30日以内にライセンサーへ申し出ることにより、本ソフトウェアの使用を終了し、購入代金の返金を求めることができます。返金は、Lemon Squeezy の返金手続きを通じて行われます。
However, where an amendment is required to comply with changes in applicable law, or where the amendment is to the User's benefit, the amended Agreement may also apply to previously purchased licenses. In such cases, Licensor will provide advance notice to the email address registered at the time of purchase. If User does not agree to the amendment, User may, within 30 days of such notice, notify Licensor to terminate use of the Software and request a refund of the purchase price. Refunds are processed through Lemon Squeezy’s refund procedures.
本契約を変更する場合には、変更後の内容と効力発生日を本ページに掲載します。また、変更前の内容についても、参照できる形で公開します。
If this Agreement is amended, the amended text and its effective date will be published on this page. The previous text will also remain accessible for reference.
